Stem to Peddle, LLC (collectively, the “Company”) is committed to protecting the privacy of its Users (as defined below). The terms “you”, and/or “User” shall refer to the users of stemtopeddle.com (the “Website”) and those individuals’ related entities, successors, assigns, shareholders, directors, officers, members, employees and agents. Users include, without limitation, those who have registered accounts on the website, including Flower Farmers and Florists (collectively, “Registered Users”), and all other users. This privacy policy (“Privacy Policy”) outlines the information collected by the Company from its Users through the Website and how that information is used.

This Privacy Policy is incorporated into the Agreement as defined within the Terms and Conditions page of the Website. By using the Website, you agree to be bound by this Privacy Policy, the Terms and Conditions, and the Agreement. Any offer by a User to modify the terms of this Privacy Policy is expressly rejected.

By clicking “I Agree,” to the Privacy Policy, you agree and expressly consent to the data collection and sharing practices of the Company as described in this Privacy Policy. Without limitation, you specifically agree that the Company may collect all of the information about you, and may use and share that information, as described in this Privacy Policy.

A User acting on behalf of an employer or entity acknowledges that they are authorized to do so and that they may be sharing certain corporate information with the Website and other Users. Information Collected

The information which the Company collects through the Website may include personally identifiable information (“Personal Information”), which refers to information that helps the Company identify Users of the Website. The Website may also collect data that cannot be traced back to a specific individual (“Anonymous Information”). For example, the Company may be able to keep count of how many Users have viewed the Website and specific content therein, key words utilized to find the Website, key words utilized to search within the Website or the geolocation and/or zip code of the Users. Users who view the Website but do not enter their Personal Information are generally anonymous Users.

User acknowledges and agrees that the Company may share User’s Anonymous and Personal Information with its employees, independent contractors and vendors as it deems necessary for the Company to effectuate the purposes of the Website. In addition, User acknowledges and agrees that the use of Anonymous or Personal Information by any product, program or service downloaded via the Website is controlled by the terms and conditions, privacy policies and other documents specific to the product, program or service.

Be advised that the Company utilizes several services in the creation, maintenance, marketing and operation of its Website. The Company does not own or operate these services and as such does not make any warranties with respect to these services, the companies that provide them, and the Personal and Anonymous information that they may independently collect. These services include, but are not necessarily limited to: KivaLogic, Google Analytics, New Relic, Facebook Pixel, and Stripe.com. The Company may, at any time and without prior notice, change the services it uses to create, maintain and operate its Website. Registered User

Registered Users will be asked to provide certain Personal Information, including, without limitation, User’s name, physical address including state and country, telephone number, email address, a unique login name, password, Employer Identification Numbers and other tax identification information for the purposes of transacting business through the Website. Since Registered Users shall be transacting business through the Website, the collection of bank account information and/or credit or debit card information is necessary. Website may also log all actions Registered Users take while using the Website.

This information is collected within the registration process, in order to allow for greater ease in the Registered User utilizing the Website and its interactive features; to facilitate the transactions between Flower Farmers and Florists; to allow the Company and the Website to identify the Registered User; and to allow Company to contact the Registered User for customer service purposes and otherwise. In addition, Company requests Registered User’s email address to confirm new member registration and to enable email or other electronic communications to be made through the Website. Moreover, the Company may utilize a Registered User’s email address to send updates, newsletters, news or other information regarding the Website to the Registered User. In the event that Registered User no longer wishes to receive such emails, they may “opt-out” via the “opt-out” function that appears in each email. However, any such “opt-out” may impact the Registered User’s utilization of any services which are offered through the Registered User account pursuant to a Customer Agreement. By “opting out” of all emails from their account, the Registered User assumes all such risk.

Registered Users will be providing more Personal Information than general Users to the Website. By becoming a Registered User that User assumes all risk, and agrees to these terms with regard to all of the information that they submits vis-à-vis the Website. Furthermore, the information set forth in the Registered User’s profile may be shared with others, and registration as a Registered User constitutes consent to sharing this information. In the event that a Registered User seeks to terminate their relationship with Company, they may affirmatively request that Company remove all of Registered User’s personal data from their servers and anonymize any prior order history. This process may take no less than seven (7) days to complete. Requests for removal may be submitted to [email protected].

Comments/Contact Form

When submitting a comment on the Website and/or contacting us, User may be asked to provide certain Personal Information, including their name and email address. This information is collected to make it easier for you to Use the Website and its interactive features including, without limitation, sending messages to the Company, posting feedback on the Website including, without limitation, compliments, tips, complaints and/or comments; to allow the Company and the Website to identify the User; and to allow the Company to contact the User, if necessary. This combined information may be shared internally within the Company. By using the Website, the User is agreeing to their Personal Information and Use History being utilized in this manner. User assumes all risk, and agrees to these terms with regard to all of the information that the User submits through the Website. User acknowledges and agrees that by submitting information on or through the Website, for example, by posting a comment on the Website, such information, which may include Personal Information, may be public and viewable by other users of the Website. User shall not share any information on or through the Website that they are not prepared to be public or to otherwise share with such other third parties.

All submissions of content, including without limitation, the posting of content to the Website or the submission of an inquiry sent to the Company, are accepted solely in accordance with, and governed by, the Website’s Terms and Conditions. Per the Terms and Conditions, the Company has various rights to distribute such materials content, business information, pictures, ideas, concepts or inventions that User submits to the Company through the Website or otherwise. If User seeks to keep such information or property private or proprietary, they should not submit and/or send such information through the Website or to the Company.

Information Sharing

Except as otherwise provided herein or within the Agreement and/or the Terms and Conditions of the Website, the Company will not intentionally distribute, rent or sell a User’s Personal Information to third parties without the User’s permission, except as outlined herein. Notwithstanding the foregoing, the Company will share Users’ information, including without limitation, Personal Information amongst its parent companies, subsidiaries, affiliates and related entities and each of their successors, assigns, officers, members, employees, attorneys and agents.

The Company may also disclose Personal Information about its Users or information relating to their Use of the Website for any reason if, in its sole discretion, it determines that it is otherwise reasonable to do so, including, without limitation:

A. To comply with laws, such as without limitation, the Electronic Communications Privacy Act, regulations or governmental or legal requests for such information;

B. To reveal information that is needed to identify, contact or bring legal action against any User who may be violating the terms and conditions of the Website;

Registered Users may also provide credit card and other payment information. The Company does not collect nor store this information. Rather, it is stored independently by Stripe.com. Company is not responsible for any disclosures made by any third parties, including, but not limited to, Stripe.com.

International Visitors

This Website is generally intended for United States-based users. If you are visiting from or accessing the Website from other regions, the laws governing data collection and use may differ from United States law. Please be aware that you are transferring Personal Information to the United States. The United States does not have the same data protection laws as some other regions. By providing Personal Information to us, you consent to the transfer of it to the United States and the use of it in accordance with this policy.
